Few mandates, taken seriously.

We limit the number of suppliers we represent so that each one gets a team, a partner network and our full attention. This page explains what a mandate contains.

Term sheet

Standard terms of a Mandeur mandate.

Every mandate is negotiated, but it starts from the same structure.

Territory and segment
Defined countries and buyer segments. Exclusive only where we have real access, with an option to extend after results.
Exclusivity
Exclusive for the duration of the mandate. The supplier keeps opportunities it can show were opened before signature. A non-exclusive start of six months with automatic exclusivity after an agreed milestone is possible.
Duration
Twenty-four months with automatic renewal. Six months' notice, not before month twelve. Opportunistic mandates for single products run twelve months.
Retainer
Monthly from signature, offset up to one hundred percent against the first commission. A milestone-based retainer is available for strategic products.
Commission
Hardware and projects: a percentage of contract value, payable within thirty days of each buyer payment, with degression above large thresholds. Recurring revenue: a share of year one and a smaller share of years two to five, also for contracts signed during the mandate that run beyond it.
Opportunity registration
Registered opportunities are protected for eighteen months. Non-circumvention applies during the mandate and twenty-four months after it; a twelve-month tail covers opportunities in progress at termination.
Minimum performance
Quarterly targets for qualified opportunities and weighted pipeline. Two quarters below target narrow the territory rather than end the mandate.
Compliance
Audit rights over partner payments, no payments to public officials, sanctions screening, export controls handled on the supplier's side, sub-agent agreements in a form the supplier's compliance team can approve.
Supplier support
Training, demo capability, references, a named technical contact, an agreed pricing policy and sales materials.
Law and disputes
Law of the headquarters country and arbitration (VIAC or ICC) by default; supplier's law for U.S. companies that require it.

Selection

What we look for before we sign.

  • A product that is proven at home, with references we can call.
  • A clear reason a buyer in our territory should switch or buy now: regulation, a mandate, a cost gap, an incumbent that is failing.
  • A supplier that will invest in the market: demos, a technical contact, pricing that works locally.
  • A sales cycle we can influence: relationship-driven, procurement-heavy, compliance-sensitive.
  • No conflict with a mandate we already hold.
